Anthropic’s trust gives outside overseers a central role ahead of reported IPO
Anthropic’s Long-Term Benefit Trust holds unusual board-selection powers, making its governance structure central to the company’s reported IPO plans.
Anthropic’s reported plans to go public put an unusual governance arrangement in focus: an independent trust with authority over board appointments. The company established its Long-Term Benefit Trust to help balance shareholder interests with the broader effects of its AI systems.
The trust holds a special share class that grants rights to appoint and remove directors. Anthropic’s original design phased those powers in toward control of most board appointments. The company says trustees have no personal equity stake or participation in profits and receive compensation for their service.,
Anthropic already operates as a public benefit corporation, allowing its directors to weigh social consequences alongside financial returns. The trust adds another mechanism for holding directors accountable to that mission. Its authority is not immutable: Anthropic says sufficiently large shareholder supermajorities can change the arrangement without trustee approval.
Under the reported IPO structure, the trust would select four directors on a seven-seat board. A separate entity representing the founders would reportedly hold enhanced voting power over other corporate matters. Those proposed terms make the allocation of authority between trustees, founders and public shareholders a key issue for the planned offering.
