Anthropic proposes 5% equity commitment to new public benefit fund

Anthropic plans to commit 5% of its shares to a public benefit fund, pending shareholder approval, with potential increases as its valuation grows.

Anthropic

Anthropic announced a new public benefit fund on October 18, proposing to allocate 5% of its shares subject to shareholder approval. The fund could support nonprofit organizations and make payments to selected populations.

The board could authorize another 2% for each 50% valuation increase above a specified baseline. Anthropic will own the fund through a limited liability company and said its equity cannot finance political donations or lobbying.

The proposal builds on earlier charitable pledges from founders and employees. Anthropic said the combined commitments would dedicate about 20% of company shares to public benefit, before any future increases tied to valuation.

Anthropic identified potential disruption to workers as one area the fund could address. It plans to disclose governance arrangements and valuation milestones over the coming months, alongside a separate report assessing its public benefit work.
